Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Vouch Local AI LLC ("Vouch Local," "we," "us," or "our") governing your access to and use of the Vouch Local website, application, and related services (collectively, the "Service"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

Description of the Service

Vouch Local AI LLC offers Vouch Local, a software-as-a-service (SaaS) platform that helps local businesses and agencies improve their local visibility and presence. The Service includes, without limitation:

• Scout / Discovery: Tools to discover local listing opportunities (e.g., directories, chambers of commerce, sponsorships, local blogs) based on your business category and location, including optional "deep" or full scans that use third-party search and AI.
• Competitors: Competitor identification and analysis, including local ranking, footprint (where competitors are listed), and comparison with your business.
• Dashboard: Summary of your local authority, KPIs, recommended actions, and integration with Scout and Competitors data.
• Opportunities / Listings: Management of your existing listings and manually added opportunities, and verification of listings that link to your business.
• Email Assistant: Drafting and sending outreach emails to opportunities (e.g., via Gmail or other connected email), when you choose to use this feature.
• Reports and exports: Generation of reports and exports (subject to your plan and feature availability).
• Integrations: Integration with Google (e.g., sign-in, Google Business Profile, Gmail, Maps/Places) and other third-party services as described in our documentation and Privacy Policy.

The Service is offered in tiers (e.g., Solo, Agency, Enterprise) with different limits on locations, credits, and features. We may add, change, or discontinue features or tiers with notice as described in these Terms.

Eligibility and Account Registration

To use the Service, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding agreement; (c) provide accurate, current, and complete registration and account information; (d) maintain the security of your account credentials and accept responsibility for all activity under your account; and (e) not be prohibited from using the Service under applicable law or have been previously banned or terminated from the Service.

You are solely responsible for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account or any other breach of security.

Subscription, Billing, and Credits

Free Trial

We offer a 7-day free trial for new users. No credit card is required to start the trial. During the trial, you receive 3,000 credits to use the Service (Scout, Competitors, Scan, and other credit-consuming features). The trial ends when either (a) 7 days from sign-up have passed, or (b) you have used all 3,000 trial credits, whichever occurs first. You will not be charged until the trial ends unless you explicitly subscribe. If you do not cancel before the trial ends and you have provided payment information, you may be automatically converted to a paid subscription in accordance with the plan and pricing presented to you.

Once the trial ends, you must subscribe to a paid plan to continue using credit-consuming features. Eligibility and full trial terms are presented at sign-up.

Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis, as selected by you. All fees are in U.S. dollars (or as otherwise stated) and are non-refundable. See our Refund Policy for details. We or our payment processor (e.g., Stripe) will charge the payment method you provide. You authorize us to charge that payment method for all fees incurred. If payment fails, we may suspend or terminate your access after a reasonable notice period.

We may change subscription fees with at least 30 days' advance notice. Price changes will apply at the start of the next billing cycle. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

Credits and Usage Limits

Your plan may include a monthly or periodic credit allowance (e.g., for Scout runs, competitor refreshes, or verification actions). Credits typically reset at the beginning of each billing period and do not roll over unless otherwise stated. Use of certain features may consume credits as described in the Service. Exceeding your allowance may require upgrading your plan or purchasing additional credits, if offered. We may enforce usage limits and suspend or throttle use that exceeds your plan or that we reasonably deem abusive.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period; you will retain access and any included credits until then. We do not provide refunds for monthly or annual subscriptions. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable law, regulation, or third-party rights
• Use the Service to harass, abuse, defame, impersonate, or harm others
• Attempt to gain unauthorized access to the Service, other accounts, or any systems or networks
• Interfere with or disrupt the integrity or performance of the Service or any third-party data or services
• Transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to collect data from the Service beyond normal use, or use the Service to build a competing product or service
• Resell or sublicense the Service or use it for the benefit of third parties in a manner that circumvents your plan limits
• Use the Service to send unsolicited or unlawful communications or to violate anti-spam or similar laws
• Circumvent or attempt to circumvent any usage limits, security measures, or access controls

We may suspend or terminate your account and access to the Service if we reasonably believe you have violated these Terms or engaged in conduct that is harmful to the Service or others.

Intellectual Property

The Service, including its software, design, text, graphics, logos, and other content (excluding content you submit), is owned by Vouch Local AI LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from the Service or our content except as expressly permitted by these Terms or with our prior written consent.

You retain ownership of content you submit to the Service (e.g., business information, notes, manually added listings). You grant us a worldwide, non-exclusive, royalty-free license to use, store, process, display, and transmit that content as necessary to provide and improve the Service and as described in our Privacy Policy.

Third-Party Services and Data

The Service integrates with third-party services (e.g., Google sign-in, Google Business Profile, Gmail, Maps, search and AI providers, payment processors, email delivery). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. Data we receive from third parties (e.g., Google) is used as described in our Privacy Policy and in compliance with applicable third-party policies (e.g., Google API Services User Data Policy).

We do not guarantee the accuracy, completeness, or timeliness of data from third-party sources (e.g., search results, competitor data, or maps). You use such data at your own risk.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to such collection and use. You are responsible for ensuring that any data you provide or connect (e.g., business locations, email) is provided in compliance with applicable law and that you have the right to share it with us.

Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted, error-free, or secure access. We may modify, suspend, or discontinue any part of the Service (including features or tiers) with reasonable notice where practicable. We will not be liable to you or any third party for any modification, suspension, or discontinuation. We may also impose limits on certain features or restrict access to the Service in order to protect the Service or users.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VOUCH LOCAL AI LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF DATA OR RESULTS. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

We do not guarantee any particular business outcome (e.g., rankings, traffic, or conversions) from your use of the Service. Local visibility and search results depend on many factors outside our control. Any estimates, scores, or recommendations we provide are for informational purposes only.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOUCH LOCAL AI LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify, defend, and hold harmless Vouch Local AI LLC and its affiliates and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your violation of these Terms or applicable law, (c) your violation of any third-party right, or (d) any content or data you submit or connect to the Service or any dispute between you and a third party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

Termination

You may terminate your account at any time by canceling your subscription (if applicable) and ceasing use of the Service, or by contacting us to request account closure.

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms, non-payment, or conduct we deem harmful to the Service or others. Upon termination, your right to use the Service will immediately cease. We may delete or retain your data in accordance with our Privacy Policy and applicable law.

Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to the personal jurisdiction of such courts.

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration.

General

• Entire agreement: These Terms, together with the Privacy Policy and any order or plan terms presented to you, constitute the entire agreement between you and Vouch Local AI LLC regarding the Service and supersede any prior agreements.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your account without our prior written consent. Vouch Local AI LLC may assign these Terms or its rights and obligations without restriction.

Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will provide notice by email or through the Service where practicable. Your continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Service and may terminate your account.
